These Terms and Conditions (hereinafter "the Terms") govern access to and use of the real estate crowdlending platform operated by Irwqpkrq C.A. (hereinafter "Irwqpkrq" or "the Platform"). By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
• Platform: the website irwqpkrq.com and all associated technological tools. • User: any person who accesses, registers, or uses the Platform. • Investor: a user who participates in crowdlending projects through the Platform. • Promoter: a natural or legal person who presents real estate projects for financing on the Platform. • Real estate crowdlending: a collective financing method through which multiple investors contribute capital to real estate projects in exchange for returns.
2. Registration Requirements
To use the Platform's investment services, you must: • Be at least eighteen (18) years of age. • Have legal capacity to enter into contracts. • Complete the identity verification process (KYC) in accordance with Venezuelan regulations. • Provide truthful, complete, and up-to-date information. • Accept these Terms and the Platform's Privacy Policy.
3. Nature of the Service
Irwqpkrq operates as a technological intermediary connecting investors with real estate project promoters. The Platform: • Does not guarantee returns or the return of invested capital. • Does not act as a banking entity or brokerage house. • Conducts a preliminary assessment of published projects, but the investment decision is the sole responsibility of the user. • Operates under the authorization of Venezuela's National Securities Superintendence (Authorization No. RSNV-2021-0483).
4. Investment Risks
By investing through Irwqpkrq, you acknowledge and accept that: • All investments carry risks, including the possible total or partial loss of invested capital. • Past returns do not guarantee future returns. • Real estate projects may be affected by market, regulatory, economic, or force majeure factors. • The liquidity of your investment may be limited during the project term. • Irwqpkrq does not offer deposit insurance or government guarantees on investments made.
5. User Obligations
As a user of the Platform, you agree to: • Maintain the confidentiality of your access credentials. • Not use the Platform for illicit or fraudulent purposes. • Not impersonate third parties. • Immediately notify any unauthorized use of your account. • Comply with tax obligations arising from your investments in accordance with current Venezuelan legislation.
6. Intellectual Property
All content on the Platform, including texts, graphics, logos, icons, images, software, and their compilation, is the property of Irwqpkrq C.A. or its licensors and is protected by Venezuelan intellectual property laws and applicable international treaties. Reproduction, distribution, or modification of the content without express authorization is prohibited.
7. Limitation of Liability
To the maximum extent permitted by law: • Irwqpkrq shall not be liable for indirect, incidental, special, or consequential damages arising from the use of the Platform. • Our total liability for any claim shall not exceed the amount of fees actually charged to the user in the twelve (12) months prior to the event giving rise to the claim. • We do not guarantee the uninterrupted or error-free availability of the Platform.
8. Applicable Law and Jurisdiction
These Terms are governed by the laws of the Bolivarian Republic of Venezuela. For the resolution of any dispute, the parties submit to the jurisdiction of the competent courts of the city of Caracas, Capital District.
9. Modifications
Irwqpkrq reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Platform. Continued use of the services after the publication of modifications implies acceptance of the new Terms.
